1. Acceptance of Terms
By accessing or using ResiConnect at resiconnectapp.com, you agree to these Terms of Service on behalf of yourself and any organization you are authorized to represent. If you do not agree, you may not use the service.
EmaraCore LLC
Terms of Service
Baseline terms for organizations and users accessing ResiConnect, a product operated by EmaraCore LLC.
2. Company and Product
ResiConnect is owned and operated by EmaraCore LLC. ResiConnect provides software tools for residential care operations, documentation, scheduling, compliance, billing support, and related workflows.
3. Account Registration
Users must provide accurate account information, maintain the confidentiality of their credentials, and promptly notify their organization administrator or EmaraCore LLC of suspected unauthorized access.
4. Authorized Use
ResiConnect may be used only for lawful business purposes authorized by the subscribing organization and consistent with applicable policies, role permissions, and agreements.
5. Customer Responsibilities
Customers are responsible for managing user access, configuring organization settings, obtaining required consents, maintaining lawful data practices, and ensuring their users follow applicable laws and internal policies.
6. Fees and Billing
Fees, subscription terms, payment timing, taxes, renewals, and cancellation terms are governed by the applicable order form, subscription agreement, or written agreement between the customer and EmaraCore LLC.
7. Data Ownership
Customers retain ownership of data they submit to ResiConnect. EmaraCore LLC may process customer data to provide, secure, maintain, support, and improve the service as permitted by applicable agreements.
8. Confidentiality
Each party should protect non-public business, technical, operational, and customer information using reasonable safeguards and should not disclose confidential information except as permitted by agreement or law.
9. Security
EmaraCore LLC intends to maintain reasonable administrative, technical, and organizational safeguards for ResiConnect. Customers remain responsible for user provisioning, access reviews, secure credential practices, and appropriate internal controls.
10. HIPAA / PHI Notice
Do not store or process protected health information in ResiConnect unless the required contractual, organizational, and technical safeguards are in place. If ResiConnect is used by or for a covered entity to process PHI, a Business Associate Agreement or other required arrangement may be needed before PHI is stored or processed.
11. Intellectual Property
All software, workflows, designs, source code, content, and platform materials are proprietary to EmaraCore LLC. No rights are granted except the limited right to use ResiConnect under the applicable agreement.
12. Suspension or Termination
EmaraCore LLC may suspend or terminate access for non-payment, security risk, unlawful use, violation of these terms, or use that may harm the service, customers, users, or third parties.
13. Disclaimers
ResiConnect is provided according to the applicable agreement and is not a substitute for legal, clinical, billing, compliance, or professional judgment. Customers remain responsible for reviewing outputs, records, workflows, and operational decisions.
14. Limitation of Liability
To the maximum extent permitted by law, EmaraCore LLC's liability is limited by the applicable agreement. EmaraCore LLC is not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages except where prohibited by law.
15. Governing Law: Pennsylvania
These Terms of Service are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, unless a separate written agreement states otherwise.
